SCOPE OF WORK Due Diligence Commercial and Industrial Building Structure and Systems and Property Inspection is a comprehensive foundation to roof inspection. The structure and building envelope; exterior sidewalls, doors, windows and roof are all inspected as are all interior floors, walls, doors and ceilings. All building systems including HVAC, plumbing, mechanical, electrical, fire suppression and other life safety systems including all fixtures and equipment are inspected. We also inspect the site with respect to driveways, roadways, parking, walkways and landscaping and look for signs of concern, especially deferred maintenance, safety hazards, security issues and visible environmental concerns on the subject property and adjacent properties.

REPORT In addition to determining current condition we estimate the remaining useful life expectancy of all components, recommend necessary and desirable upgrades, repair and replacement and we provide inspection, service and maintenance schedules to follow after you move into the building. We also provide ASTM E-2600-08 Property Condition Assessment which includes a 10 year Capital Costs Report. This report covers estimates of repairs and upgrades required now and in the first 10 years of ownership. Future costs are adjusted for inflation. You can look at one spreadsheet for an estimate of your costs for each of the 10 years and also the total amount you will invest in the property for 10 years of ownership. At a glance you will know your capital costs for each year and your total capital costs for a full 10 year period.

DISCOUNT ON DUE DILIGENCE SERVICE PACKAGE Since
the enactment of the Comprehensive Environmental Response Compensation and
Liability Act (CERCLA) in 1980, the commercial real estate industry has
had to deal with the harsh reality that a current owner or operator of a
contaminated property could be held responsible for cleanup of the
contaminated property — regardless of whether it had anything to do with
causing the contamination. Congress enacted the Superfund and
Reauthorization Act (SARA) amendments to CERCLA in 1986 to provide
liability protection to innocent landowners who unwittingly purchased
contaminated property. In

perform what EPA calls All Appropriate Inquiry (AAI).
As a practical matter purchasers are not able to perform AAI
functions as required by CERCLA and they transfer their responsible to an

the Assessment is correctly and fully completed by an Environmental
Professional the purchaser is qualified for CERCLA liability protections
should they ever be necessary. A Phase I Environmental Audit / Phase 1 Environmental Assessment, is often required by lenders prior to final loan approval or closing. Attorneys generally recommend Phase 1 Audit / Assessment in their client's best interest when their clients buy property and may also recommend Vapor Intrusion Assessment (VIA). Any purchase offer or lease you sign should be made contingent upon your receipt of an acceptable Phase 1 report to guard you against assuming environmental liability as you take ownership or occupancy of real property. Lenders generally require Phase I Audit / Phase 1 Assessment and may also require Vapor Intrusion Assessment (VIA) for financing and re-financing properties to shield the lender and you from environmental liability. State and Federal Environmental Protection Agencies and Departments of Environmental Conservation as a matter of form hold the current property owner or tenant liable for the clean-up of any environmental hazard or incident on a property. A property owner or tenant can be sued by nearby property owners and people who use nearby properties for illness or injury as a result of an environmental hazard or incident. Phase I Environmental Assessment constitutes " appropriate inquiry" (due diligence) for the purpose of an innocent landowner defense pursuant to the Comprehensive Environmental Response, Compensation and Liability Act, as amended, 42 USC 9601 et. seq. (CERCLA) but is by no means limited to that purpose. The statute of limitations on some environmental claims can extend to 25 years beyond your term of ownership. expert... Mr. Devine is known as an expert in the architecture, engineering, construction and real estate community. When construction firms, construction managers and their clients need an expert to mediate a difference of opinion, Edward Devine is the expert they call. BINDING ARBITRATION Our senior inspector regularly presides as an hearing officer (arbitrator) for binding arbitration involving construction issues at a Rochester, New York based mediation and arbitration center. Binding arbitration is a fast, fair and inexpensive alternative to the court system. The arbitrator brings to the table 27 years of architecture, engineering, construction and inspection experience and personally conducts an inspection of a job site or completed construction prior to the start of an arbitration session. We are not a "consumer" agency and we are not a contractor's association. Both parties equally share our fee; we are equally responsible to each party and each party can expect impartial treatment regardless of which party invoked arbitration. This is not mediation and rarely if ever results in a "compromise" solution. Based on a contract between two parties, contractors and clients both are legally entitled to certain things - the client is entitled to quality workmanship and materials that perform as expected - for instance a roof that does not leak - and the contractor is entitled to access to the property to do his work and receive payment as scheduled in the contract. Binding Arbitration by a construction industry expert rather than a legal expert is designed to assure equitable results for both parties; not a "compromise" but rather each party receiving all that he/she is entitled to. Disputes arise when one party fails to perform according to contract and often the other party attempt to protect his/her interests by withholding work or further payment. Binding Arbitration serves to get the contract back on track to the satisfaction of both parties. Customers must receive fair value and contractors must be compensated fairly and in a timely fashion. If you want only what is rightfully yours and to avoid lengthy or costly delay then binding arbitration by a construction industry expert suits you. You can (should) use this service as soon as a disagreement arises to keep a difficulty from becoming a crisis. In arbitration neither party need be represented by an attorney. Binding Arbitration is designed to be fast and economical and can be completed in less than a week, often within a day or two - there is no faster or fairer form of dispute settlement for construction related disputes. If you have an agreement to arbitrate either party can invoke arbitration at the first sign of a dispute. An arbitration session can be set up within as little as a few days; in some cases the arbitrator can arrange a same day session with the parties on a construction site or other property that is the subject of a dispute and have the matter resolved within hours. You can avail yourself of the benefits of this service by insisting on an arbitration clause in every contract you sign as a customer, contractor or service provider. We will provide you with the text of an arbitration clause you can use. In many cases two parties may be willing to submit their dispute to Binding Arbitration at Mediation Center even if it wasn't specified in any agreement, but don't leave such an important matter to chance.
