Due Diligence Commercial and Industrial Building Structure and Systems and Property Inspection is a comprehensive foundation to roof inspection. The structure and building envelope; exterior sidewalls, doors, windows and roof are all inspected as are all interior floors, walls, doors and ceilings. All building systems including HVAC, plumbing, mechanical, electrical, fire suppression and other life safety systems including all fixtures and equipment are inspected. In addition to determining current condition we estimate the remaining useful life expectancy of all components, recommend necessary and desirable upgrades, repair and replacement and we provide inspection, service and maintenance schedules to follow after you move into the building. We also inspect the site with respect to driveways, roadways, parking, walkways and landscaping and look for signs of concern, especially deferred maintenance, safety hazards, security issues and visible environmental concerns on the subject property and adjacent properties. We offer a complete Due Diligence Phase 1 Environmental Site Assessment in a service package together with a building inspection or as a stand-alone service. A Phase I Environmental Audit / Phase 1 Environmental Assessment, is often required by lenders prior to final loan approval or closing. Attorneys generally recommend Phase 1 Audit / Assessment in their client's best interest when their clients buy property and may also recommend Vapor Intrusion Assessment (VIA). Any purchase offer or lease you sign should be made contingent upon your receipt of an acceptable Phase 1 report to guard you against assuming environmental liability as you take ownership or occupancy of real property. Lenders generally require Phase I Audit / Phase 1 Assessment and may also require Vapor Intrusion Assessment (VIA) for financing and re-financing properties to shield the lender and you from environmental liability. State and Federal Environmental Protection Agencies and Departments of Environmental Conservation as a matter of form hold the current property owner or tenant liable for the clean-up of any environmental hazard or incident on a property. A property owner or tenant can be sued by nearby property owners and people who use nearby properties for illness or injury as a result of an environmental hazard or incident. Phase I Environmental Assessment constitutes " appropriate inquiry" (due diligence) for the purpose of an innocent landowner defense pursuant to the Comprehensive Environmental Response, Compensation and Liability Act, as amended, 42 USC 9601 et. seq. (CERCLA) but is by no means limited to that purpose. The statute of limitations on some environmental claims can extend to 25 years beyond your term of ownership. Clean-ups routinely cost tens of thousands of dollars and illness and injury awards could be millions of dollars. To you as a buyer or lessee Phase I Audit / Phase 1 Assessment and Vapor Intrusion Assessment (VIA) meet your legal requirement for environmental "due dilligence". They firmly establishes the environmental condition of the property and the potential for contamination from nearby properties prior to your assumption of ownership. If a defect is found you can elect to purchase the property regardless, require the seller or owner to assume the cost of clean-up or be released from the purchase contract. Phase 1 Assessment and Vapor Intrusion Assessment qualifies you for the "innocent landowner" defense under CERCLA. As a seller Phase I Audit / Phase 1 Assessment, serves to establish the environmental condition of property at the end of your term of ownership. Plaintiffs and defendants in environmental actions routinely name owners and former owners as defendants and property owners seek to pass on or share liability with former owners. When construction firms, construction managers and their clients need an expert to mediate a difference of opinion, Edward Devine is the expert they call. BINDING ARBITRATION Our senior inspector regularly presides as an hearing officer (arbitrator) for binding arbitration involving construction and real estate issues at the Mediation Center in Rochester, New York and other cities upon request. Binding arbitration is a fast, fair and inexpensive alternative to the court system. The arbitrator brings to the table 23 years of architecture, engineering, construction and inspection experience and personally conducts an inspection of a job site or completed construction prior to the start of an arbitration session. Outcomes are not determined according to legal minutia but by what is patently right and fair: Customers must receive fair value and contractors must be compensated fairly and in a timely fashion. If you want only what is rightfully yours and want to prevent construction delays and delayed or lost real property purchase and sales, then binding arbitration at the Mediation Center suits you. You can (should) use this service as soon as a disagreement arises to keep a difficulty from becoming a crisis involving lost time and lost profit. In arbitration neither party need be represented by an attorney. In Western New York an arbitration session and a decision can occur on-site and within hours of your call to Mediation Center. If you have an agreement to arbitrate either party can invoke arbitration at the first sign of a dispute. An arbitration session can be set up within as little as a few days; in some cases the arbitrator can arrange a same day session with the parties on a construction site or other property that is the subject of a dispute and have the matter resolved within hours.
