Scope of Work

Due Diligence Commercial and Industrial Building Inspection and Property Inspection is a comprehensive foundation to roof inspection.

The structure and building envelope; exterior sidewalls, doors, windows and roof are all inspected as are all interior floors, walls, doors and ceilings.  All building systems including HVAC, plumbing, mechanical, electrical, fire suppression and other life safety systems including all fixtures and equipment are inspected.

We also inspect the site including driveways, roadways, parking, walkways and landscaping and look for signs of concern, such as deferred maintenance, safety hazards, security issues and visible environmental concerns on the subject property and potential hazards that could migrate to the subject property from adjacent properties.

Since the enactment of the Comprehensive Environmental Response Compensation and Liability Act (CERCLA) in 1980, the commercial real estate industry has had to deal with the harsh reality that a current owner or operator of a contaminated property could be held responsible for cleanup of the contaminated property � regardless of whether it had anything to do with causing the contamination. Congress enacted the Superfund and Reauthorization Act (SARA) amendments to CERCLA in 1986 to provide liability protection to innocent landowners who unwittingly purchased contaminated property.

To qualify to apply for these defenses commercial and real estate purchaser and lessors must perform what EPA calls All Appropriate Inquiry (AAI) including a vapor investigation.  If Phase 1 Environental Assessment determines vapor encroachment screening is required, we are trained and qualified to offer it.

Vapor encroachment screening can save you thousands of dollars over the alternative of Phase 2 services. As a practical matter purchasers are not trained or skilledable to perform AAI functions as required by CERCLA and they contract with an Environmental Professional who performs AAI as part of a complete Phase 1 Environmental Assessment.

When the Assessment is correctly and fully completed by an Environmental Professional, the purchaser is qualified for CERCLA liability protections should they ever be necessary.

Important Note: Many Phase 1 Environmental Assessment providers do not offer Vapor Encroachment Screening, or charge extra for. In many cases you don't know you need for vapor encroachment screening until the providers discovers the need in the course of the inpection or records review. In that case, it's a "surprise" extra charge of $300 - $800.

Environmental Phase 1 Assessment (ESA)

 

 

We offer a complete Due Diligence Phase 1 Environmental Site Assessment in a service package together with a building inspection or as a stand-alone service.  

A Phase I Environmental Assessment is often required by lenders prior to final loan approval or closing.   Attorneys generally recommend Phase 1 Assessment in their client's best interest when their clients buy property and may also recommend Vapor Encroachment Screening (VES).

Any purchase offer or lease you sign should be made contingent upon your receipt of an acceptable Phase 1 report to guard you against assuming environmental liability as you take ownership or occupancy of real property.  Lenders generally require Phase I Audit / Phase 1 Assessment and may also require Vapor Intrusion Assessment (VIA) for financing and re-financing properties to shield the lender and you from environmental liability.  

State and Federal Environmental Protection Agencies and Departments of Environmental Conservation as a matter of form hold the current property owner or tenant liable for the clean-up of any environmental hazard or incident on a property.  A property owner or tenant can be sued by nearby property owners and people who use nearby properties for illness or injury as a result of an environmental hazard or incident.  Phase I Environmental Assessment constitutes " appropriate inquiry" (due diligence) for the purpose of an innocent landowner defense pursuant to the Comprehensive Environmental Response, Compensation and Liability Act, as amended, 42 USC 9601 et. seq. (CERCLA) but is by no means limited to that purpose.

The statute of limitations on some environmental claims can extend to 25 years beyond your term of ownership.  Clean-ups routinely cost tens of thousands of dollars and illness and injury awards could be millions of dollars.  

To you as a buyer or lessee Phase I Audit / Phase 1 Assessment including a vapor investigation.  If the investigation determines Vapor Encroachment Screening is necessary, we are one of a handful of U.S. firms trained and qualified to perform Vapor Encroachment Screening (VES).  VES can clearly establish he impact of on-site or off-site underground contamination, whether remediation is necessary and whether and where on the site you can build or add on to an existing building.  Phase 1 plus Vapor Encroachment Screening meets your legal requirement for environmental "due diligence".  They firmly establishes the environmental condition of the property and the potential for contamination from nearby properties prior to your assumption of ownership.  If a defect is found you can elect to purchase the property regardless, require the seller or owner to assume the cost of clean-up or be released from the purchase contract.  Phase 1 Assessment and Vapor Intrusion Assessment qualifies you to apply for the innocent landowner" defense and other liability protections under CERCLA, should it ever be necessary to do so.

As a seller Phase 1 Environmental Assessment, serves to establish the environmental condition of property at the end of your term of ownership.  Plaintiffs and defendants in environmental actions routinely name owners and former owners as defendants and property owners seek to pass on or share liability with former owners.  Phase I Audit / Phase 1 Assessment, can be the cornerstone of your defense against claims, whether the claims are meritorious or not.

ASTM E 1527-13 Phase 1 Environmental Assessment with a vapor investigation meets the standard of "due diligence" and qualifies you for the innocent landowner defense and other federal environmental liability protections under the Comprehensive Environmental Response, Compensation and Liability Act, as amended, 42 USC 9601 et. seq. (CERCLA).  Even if your lender does not require Phase 1 Assessment you still need the protection it provides against tens of thousands or hundreds of thousands of dollars of future environmental liability.
