Due Diligence Commercial and Industrial Building Structure and Systems and Property Inspection is a comprehensive foundation to roof inspection.

The structure and building envelope; exterior sidewalls, doors, windows and roof are all inspected as are all interior floors, walls, doors and ceilings.  All building systems including HVAC, plumbing, mechanical, electrical, fire suppression and other life safety systems including all fixtures and equipment are inspected.

In addition to determining current condition we estimate the remaining useful life expectancy of all components, recommend necessary and desirable upgrades, repair and replacement and we provide inspection, service and maintenance schedules to follow after you move into the building.

We also inspect the site with respect to driveways, roadways, parking, walkways and landscaping and look for signs of concern, especially visible environmental concerns on the subject property and adjacent properties.

Through the Freedom of Information Law (FOIL) we apply to local jurisdictions to obtain copies of any significant documents and inquire about any existing code violations.

We offer a complete environmental "due diligence" Phase 1 Audit /  Phase 1 Assessment inspection and report in a service package together with a building inspection or as a stand-alone service.  

          A Phase 1 Audit / Phase 1 Assessment, is often required by lenders prior to final loan approval or closing.   Attorneys generally recommend a Phase 1 Audit / Phase 1 Assessment in their client's best interest when their clients buy property.

          Any purchase offer or lease you sign should be made contingent upon your receipt of an acceptable Phase 1 report to guard you against assuming environmental liability as you assume ownership or occupancy of real property.  Lenders generally require a Phase 1 Audit / Phase 1 Assessment, for financing and re-financing properties to shield the lender from environmental liability.  

          State and Federal Environmental Protection Agencies and Departments of Environmental Conservation as a matter of form hold the current property owner or tenant liable for the clean-up of any environmental hazard or incident on a property.  A property owner or tenant can be sued by nearby property owners and people who use nearby properties for illness or injury as a result of an environmental hazard or incident.  Our Phase I Environmental Assessment constitutes " appropriate inquiry" (due diligence) for the purpose of an innocent landowner defense pursuant to the Comprehensive Environmental Response, Compensation and Liability Act, as amended, 42 USC 9601 et. seq. (CERCLA) but is by no means limited to that purpose.

          The statute of limitations on many environmental claims can extend to 25 years beyond your term of ownership.  Clean-ups routinely cost millions and illness and injury awards could be billions.  

          As a buyer a Phase 1 Audit / Phase 1 Assessment, meets your legal requirement for environmental "due diligence".  It firmly establishes the environmental condition of the property and the potential for contamination from nearby properties prior to your assumption of ownership.  If a defect is found you can elect to purchase the property regardless, require the seller or owner to assume the cost of clean-up or be released from the purchase contract.  A Phase 1 Assessment qualifies you for the "innocent landowner" defense under CERCLA. 

          As a seller a Phase 1 Audit / Phase 1 Assessment, serves to establish the environmental condition of property at the end of your term of ownership.  Plaintiffs in environmental actions routinely name owners and former owned as defendants and/or defendants seek to pass on or share liability with former owners.  A Phase 1 Audit / Phase 1 Assessment, can be the cornerstone of your defense against claims, whether the claims are meritorious or not.

PLEASE NOTE:
Phase 1 Audit and Phase 1 Assessment are each commonly accepted terms for the same environmental inspection and report service.  For low risk properties some lenders may require only an ESA which involves a site inspection and very limited research.  An ESA costs less than a Phase 1 Audit or Phase I Assessment and may be acceptable to a lender but generally does not meet the standard of "due diligence" under the Comprehensive Environmental Response, Compensation and Liability Act, as amended, 42 USC 9601 et. seq. (CERCLA) and may or may not be helpful in defense of any future environmental claim.  Even if your lender requires only an ESA you should consider a complete Phase I Audit or Phase 1 Assessment.  We strongly advise you to consult your attorney about the value of "due diligence" both at the time of purchase and for the future.

BINDING ARBITRATION
 

         Our senior inspector regularly presides as an hearing officer (arbitrator) for binding arbitration involving construction and real estate issues at the Mediation Center of Rochester, New York (MCR).  Binding arbitration is a fast, fair and inexpensive alternative to the court system.  The arbitrator brings to the table 22 years of architecture, engineering, construction and inspection experience and personally conducts an inspection of a job site or completed construction prior to the start of an arbitration session

              Outcomes are not determined according to legal minutia but by what is patently right and fair:  Customers must receive fair value and contractors must be compensated fairly and in a timely fashion.  If you want only what is rightfully yours and want to prevent construction delays and delayed or lost real property purchase and sales, then binding arbitration at MCR suits you.  You can (should) use this service as soon as a disagreement arises to keep a difficulty from becoming a crisis involving lost time and lost profit.  In arbitration neither party need be represented by an attorney.  In Western and Upstate New York an  arbitration session and a decision can occur on-site and within hours of your call to Mediation Center of Rochester.   

              If you have an agreement to arbitrate either party can invoke arbitration at the first sign of a dispute.  An arbitration session can be set up within as little as a few days; in some cases the arbitrator can arrange a same day session with the parties on a construction site or other property that is the subject of a dispute and have the matter resolved within hours

            You can avail yourself of the benefits of this service by insisting on an arbitration clause in every contract you sign as a customer, contractor or service provider.  MCR will provide you with the text of an arbitration clause you can use.  In some cases two parties may be willing to submit their dispute to binding arbitration at MCR even if it wasn't specified in any agreement but don't leave such an important matter to chance

Please Note:  

  • Binding Arbitration is a fully legal alternative dispute settlement program and all decisions are binding in any court of jurisdiction.  

  • Neither party to a dispute is required to be represented by an attorney and disputes are most effectively settled when arbitration is evoked before relationships deteriorate to the extent that either party feels the need for representation.  Arbitration should be invoked at the first sign of substantially disagreement.  

  • The arbitrator does not represent or favor either party; both parties pay an equal amount of the fee for arbitration.  

  • Virtually all matters can be resolved within 1 - 3 weeks and resolution and resolution is often possible within hours of contacting the arbitrator.  An arbitration clause in every contract and agreement you sign guarantees that binding arbitration is immediately available to you in case of a dispute, however, arbitration is available whenever both parties will verbally agree to enter into arbitration.
